Terms of Use

PLEASE READ THESE TERMS OF USE CAREFULLY.

These Terms of Use constitute a legally binding agreement between you and Hunger, Nutrition & Health, LLC, doing business as HNH Intelligence, regarding your access to and use of HNH Intelligence and its Services.

IMPORTANT NOTICE REGARDING ARBITRATION AND CLASS-ACTION WAIVER

  • THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT, A JURY-TRIAL WAIVER, A CLASS-ACTION WAIVER, AND LIMITATIONS ON AVAILABLE REMEDIES.
  • EXCEPT FOR CERTAIN DISPUTES DESCRIBED IN SECTION 25, YOU AND HNH AGREE THAT DISPUTES WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT.
  • BY ACCEPTING THESE TERMS, YOU WAIVE THE RIGHT TO HAVE COVERED DISPUTES DECIDED BY A JUDGE OR JURY AND WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION.

1. Agreement and Scope

These Terms of Use constitute an agreement between you and Hunger, Nutrition & Health, LLC, doing business as HNH Intelligence ("HNH," "HNH Intelligence," "we," "us," or "our").

These Terms govern your access to and use of all HNH websites, digital products, content, newsletters, databases, communications, community features, and related services made available from time to time, including:

  • The HNH Intelligence website;
  • Curated news and links to third-party publications;
  • HNH summaries of third-party articles and reports;
  • HNH Insights, commentary, analysis, and opinions;
  • Original HNH articles, reports, interviews, research, and publications;
  • Organizational, professional, program, and industry directories;
  • Databases, charts, graphics, taxonomies, and visualizations;
  • The HNH Intelligence Exchange;
  • Discussion boards, comments, questions, and other community features;
  • Email newsletters and alerts;
  • Sponsored reports and sponsored content;
  • Advertising and promotional content;
  • Audio, video, webinars, and events;
  • Downloadable materials; and
  • Any other HNH product, platform, feature, or service governed by these Terms.

Each is a "Service," and collectively they are the "Services."

Additional terms may apply to enterprise arrangements, sponsored reports, events, paid products, licensed data, APIs, advertising services, or other special offerings. If supplemental terms conflict with these Terms, the supplemental terms will control solely with respect to the applicable product or arrangement.

By accessing or using a Service, creating an account, subscribing to an HNH publication, downloading HNH Content, submitting User Content, or otherwise indicating acceptance, you acknowledge that you have read, understood, and agreed to these Terms and the HNH Privacy Policy.

If you do not agree, you may not access or use the Services.

If you use the Services on behalf of a company, nonprofit organization, healthcare organization, government entity, investment firm, foundation, educational institution, or other organization, you represent that you have authority to bind that organization. In that circumstance, "you" includes both you individually and the organization you represent.

2. Eligibility and Compliance

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or use subscriber-only portions of the Services.

By using the Services, you represent and warrant that:

  • You satisfy the eligibility requirements in these Terms;
  • The information you provide to HNH is accurate, current, and complete;
  • You have authority to act on behalf of any organization you identify or represent;
  • Your use of the Services will comply with applicable laws and regulations; and
  • You are not legally prohibited from accessing or using the Services.

The Services are operated from the United States. HNH does not represent that every Service or item of content is appropriate or available in every jurisdiction.

You are responsible for complying with laws applicable to your location and use of the Services.

3. Nature of HNH Intelligence

HNH Intelligence is an information, media, research, professional-community, and intelligence platform focused on Food is Medicine and related fields, including:

  • Hunger and food insecurity;
  • Nutrition and wellness;
  • Healthcare and chronic disease;
  • Medically tailored meals and groceries;
  • Produce prescription programs;
  • Nutrition benefits and reimbursement;
  • Food systems;
  • Public policy and legislation;
  • Philanthropy;
  • Technology;
  • Research;
  • Investment;
  • Consumer engagement; and
  • Community health.

HNH provides several distinct forms of content and functionality. The ownership, permitted use, and responsibility associated with each form may differ.

4. Content Categories

4.1 Third-Party Source Content

"Third-Party Source Content" means articles, reports, studies, images, videos, data, press releases, podcasts, publications, and other materials created or published by persons or organizations other than HNH.

HNH may identify, organize, cite, link to, quote limited portions of, and provide short summaries of Third-Party Source Content.

The original Third-Party Source Content remains the property of its respective publisher, author, photographer, researcher, or other rights holder.

HNH does not claim ownership of the original third-party article merely because HNH:

  • Links to it;
  • Summarizes it;
  • Identifies its author;
  • Quotes a limited portion;
  • Categorizes it;
  • Discusses it;
  • Adds HNH Insights; or
  • Makes it available for discussion through the Intelligence Exchange.

Access to the complete third-party article or publication may be governed by the source publisher's own subscription requirements, paywall, privacy policy, copyright policy, and terms of use.

HNH cannot grant you permission to copy, republish, distribute, or otherwise use Third-Party Source Content beyond rights available under applicable law or separately granted by the applicable rights holder.

4.2 HNH Summaries

"HNH Summaries" are short descriptions prepared by HNH to identify and explain the principal subject matter, reported development, or relevance of Third-Party Source Content.

HNH Summaries are intended to:

  • Help users identify relevant news and research;
  • Provide context;
  • Direct users to the original publication;
  • Facilitate professional discussion; and
  • Support HNH's editorial curation.

An HNH Summary is not intended to reproduce or replace the complete third-party article.

HNH Summaries, and HNH's identification of the applicable source article and author under Section 5, may be prepared, generated, or verified with the assistance of automated tools, including artificial-intelligence systems, under HNH's editorial supervision and review. HNH designs its automated processes to summarize factual content in HNH's own words, without reproducing the original author's distinctive expression, phrasing, or structure, and to attribute the original author and outlet whenever they can be reasonably identified. HNH does not warrant that automated preparation or verification will be error-free, and HNH will correct identified errors in attribution or summarization upon notice.

Users should visit the linked original source for the complete article, full context, supporting information, corrections, updates, and the publisher's original presentation.

4.3 HNH Insights

"HNH Insights" means original commentary, analysis, interpretation, opinion, context, questions, observations, and editorial perspective created or commissioned by HNH in connection with a third-party article, report, development, trend, policy, or other subject.

HNH Insights may:

  • Explain why a development matters;
  • Identify implications;
  • Connect a story to broader trends;
  • Offer professional or editorial opinion;
  • Raise questions;
  • Compare programs or approaches;
  • Discuss potential impacts; or
  • Encourage Intelligence Exchange discussion.

HNH Insights may be drafted with the assistance of automated or artificial-intelligence tools and are reviewed under HNH's editorial process before publication. HNH Insights are separate from the original Third-Party Source Content and do not necessarily reflect the views of the original publisher, author, organization, sponsor, or any person discussed.

4.4 HNH Original Content

"HNH Original Content" means material originally created, commissioned, or developed by or for HNH, including:

  • Original articles;
  • Original reporting;
  • Interviews;
  • Intelligence reports;
  • Special reports;
  • Research;
  • Surveys;
  • Analysis;
  • Editorials;
  • Newsletters;
  • Charts;
  • Graphics;
  • Databases;
  • Directories;
  • Taxonomies;
  • Rankings;
  • Frameworks;
  • Audio;
  • Video; and
  • Other original works.

HNH Original Content may be sponsored or unsponsored. Sponsorship does not change the ownership of HNH Original Content unless expressly stated otherwise.

4.5 Intelligence Exchange Content

"Exchange Content" means posts, comments, questions, replies, opinions, links, documents, profiles, discussion topics, and other materials submitted by subscribers or other authorized users through the HNH Intelligence Exchange.

Exchange Content is user-generated content and is governed by Section 17.

5. Editorial Curation and Linking Practices

HNH may select and feature Third-Party Source Content based on its editorial judgment concerning relevance to the Food is Medicine ecosystem.

When reasonably available and appropriate, HNH intends to identify:

  • The original publication;
  • The original author or credited contributor;
  • The article or report title;
  • The publication date;
  • A link to the original source; and
  • Any other attribution HNH considers appropriate.

HNH's identification of the original publication, author, title, date, and link described above may be performed or assisted by an automated verification process, including AI-based tools that review publicly available information to confirm sourcing details before or after publication. Where automated verification cannot confirm an author or source with reasonable confidence, HNH may publish the item without an author credit, may hold the item for manual review, or may correct the attribution when better information becomes available.

HNH may link directly to:

  • A publisher's article;
  • A publication homepage;
  • A research paper;
  • A government source;
  • A press release;
  • A video or podcast;
  • A social-media post; or
  • Another relevant source.

HNH does not guarantee that external links will remain active, free, available, accurate, secure, or unchanged.

The linked publisher may modify, correct, relocate, restrict, remove, or place content behind a paywall at any time.

HNH is not responsible for a third party's access requirements, subscription terms, advertising, tracking technologies, content, security, or privacy practices.

6. No Substitution for Original Publications

HNH's summaries, curation, and commentary are intended to complement not substitute for the original publication.

Users should review the original source before relying on:

  • A quotation;
  • A legal or policy development;
  • A research result;
  • A data point;
  • A clinical finding;
  • A financial statement;
  • A government announcement;
  • A company statement; or
  • Other material information.

HNH may summarize or characterize Third-Party Source Content, but the original source controls as to its own content.

HNH does not warrant that a summary captures every fact, qualification, limitation, correction, update, or perspective in the original publication.

7. Free Access, Subscriptions, and Future Offerings

7.1 Current subscription model

HNH currently operates as a free, subscriber-based platform.

Unless expressly stated otherwise:

  • No subscription fee is charged;
  • No payment method is required;
  • There is no automatic paid renewal;
  • Subscribers receive access to content and features available within their account level; and
  • Subscribers may unsubscribe or close their accounts at any time.

7.2 Future offerings

HNH may introduce:

  • Paid subscriptions;
  • Enterprise accounts;
  • Data products;
  • Research services;
  • Premium reports;
  • Events;
  • Sponsorships;
  • Advertising products;
  • Content licenses;
  • API access; or
  • Other paid services.

HNH will not convert a free subscription into a paid subscription or charge you without appropriate notice and any authorization required by law.

7.3 Organizational access

Access may be provided or facilitated by an employer, professional association, educational institution, healthcare organization, sponsor, or other third party.

If access is governed by a separate enterprise or organizational agreement, that agreement will control to the extent it conflicts with these Terms.

8. Accounts and Account Security

Certain Services require an account.

You agree to:

  • Provide accurate and complete account information;
  • Keep account information current;
  • Maintain the confidentiality of login credentials;
  • Use reasonable security measures;
  • Not publish or share your credentials;
  • Not permit unauthorized access;
  • Promptly notify HNH of suspected unauthorized activity; and
  • Cooperate with reasonable verification and security procedures.

Each individual account is intended for one authorized user unless HNH approves a group or enterprise arrangement.

Permitted sharing of HNH-owned content does not permit sharing your login credentials.

You may not:

  • Sell or transfer an account;
  • Use another person's account;
  • Share authentication cookies, tokens, or credentials;
  • Circumvent registration requirements; or
  • Misrepresent your identity, organization, role, qualifications, or authority.

9. Ownership and Intellectual Property

9.1 HNH-owned materials

HNH owns or licenses:

  • HNH Summaries;
  • HNH Insights;
  • HNH Original Content;
  • HNH branding;
  • The selection and arrangement of content;
  • Editorial classifications and taxonomies;
  • HNH databases and directories;
  • Site design and functionality;
  • Graphics and visualizations;
  • Software;
  • Compilation rights; and
  • Other materials created or commissioned by HNH.

These materials are collectively referred to as "HNH Content."

9.2 Third-party ownership

Third-Party Source Content remains owned by the applicable third-party rights holder.

Nothing in these Terms transfers third-party rights to HNH or to you.

9.3 Exchange Content

Users retain ownership of original Exchange Content they create, subject to the license granted to HNH in Section 17.

9.4 Reservation of rights

Except for the limited permissions expressly granted under these Terms, HNH and its licensors retain all rights in the Services and HNH Content.

10. Professional-Use License for HNH Content

Subject to your compliance with these Terms, HNH grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to:

  • Access and view HNH Content;
  • Download HNH Content through authorized features;
  • Use HNH Content for legitimate personal and professional informational purposes;
  • Share HNH Content internally within your organization;
  • Share individual HNH materials with appropriate external stakeholders;
  • Include reasonable portions of HNH Content in professional materials; and
  • Share links, headlines, short summaries, and HNH Insights as permitted below.

This license applies only to HNH Content.

It does not authorize copying or redistribution of the complete Third-Party Source Content to which HNH links.

11. Permitted Internal Organizational Use

You may circulate HNH Summaries, HNH Insights, and HNH Original Content internally to persons within your organization who have a legitimate reason to receive them.

Permitted recipients may include:

  • Employees;
  • Officers;
  • Directors;
  • Board members;
  • Committee members;
  • Owners;
  • Contractors;
  • Consultants;
  • Interns; and
  • Other authorized personnel.

You may use HNH Content in:

  • Internal emails;
  • Internal messaging platforms;
  • Board portals;
  • Secure data rooms;
  • Internal presentations;
  • Strategy documents;
  • Research memoranda;
  • Intranets; and
  • Similar nonpublic systems.

You must preserve applicable attribution, copyright notices, disclaimers, and source links.

You may not create a permanent archive that substantially reproduces the HNH platform or serves as a substitute for subscriber access.

12. Permitted External Professional Sharing

You may occasionally share individual HNH Summaries, HNH Insights, HNH Original Content, or HNH-branded reports with identifiable third parties for legitimate professional purposes.

Permitted recipients may include:

  • Customers and prospective customers;
  • Investors and prospective investors;
  • Board and advisory-board members;
  • Attorneys and accountants;
  • Consultants and advisers;
  • Lenders and financing sources;
  • Funders and grant makers;
  • Donors and philanthropic organizations;
  • Healthcare organizations;
  • Government agencies;
  • Policymakers;
  • Researchers;
  • Academic institutions;
  • Food banks;
  • Community organizations; and
  • Business partners.

Permitted purposes may include:

  • Customer education;
  • Business development;
  • Board review;
  • Strategic planning;
  • Investment evaluation;
  • Due diligence;
  • Financing;
  • Grant applications;
  • Program development;
  • Policy analysis;
  • Healthcare planning;
  • Philanthropic evaluation;
  • Research; and
  • Professional advice.

This permission does not authorize distribution of complete third-party articles obtained through external publisher links.

External sharing must be limited, purposeful, and reasonably related to the recipient's legitimate interest.

It may not be used for mass distribution, general publication, recurring syndication, or operation of a competing content service.

13. Presentations, Reports, and Professional Materials

You may incorporate reasonable portions of HNH Content into:

  • Board presentations;
  • Investor presentations;
  • Customer presentations;
  • Business plans;
  • Strategic plans;
  • Due-diligence materials;
  • Financing materials;
  • Grant applications;
  • Funder reports;
  • Policy memoranda;
  • Internal research;
  • Academic presentations;
  • Healthcare program materials;
  • Consulting memoranda;
  • Proposals; and
  • Secure data-room materials.

Permitted uses may include:

  • HNH Summaries;
  • HNH Insights;
  • Brief quotations;
  • Headlines;
  • Individual data points;
  • Reasonable excerpts;
  • Screenshots;
  • Charts;
  • Graphics; and
  • HNH findings described accurately in your own words.

Each use must:

  • Identify HNH Intelligence as the source;
  • Identify the relevant HNH article or report when practical;
  • Retain any original third-party source attribution supplied by HNH;
  • Link to the original third-party source when practical;
  • Include the date when practical;
  • Preserve material limitations and disclaimers;
  • Accurately represent the content;
  • Avoid misleading edits;
  • Avoid implying HNH or third-party publisher endorsement; and
  • Avoid becoming a substitute for HNH or the original third-party publication.

Suggested attribution:

Source: HNH Intelligence, "[HNH Title]," [Date], summarizing and commenting on reporting originally published by [Original Publication/Author].

For original HNH reports:

14. Public Sharing and Social Media

You may publicly share:

  • Links to HNH pages;
  • HNH headlines;
  • Brief quotations from HNH Content;
  • High-level summaries written in your own words;
  • Limited HNH Insights;
  • Limited screenshots; and
  • Limited visual excerpts reasonably necessary to discuss HNH Content.

Public sharing must:

  • Attribute HNH Intelligence;
  • Link to the HNH page when practical;
  • Preserve attribution to the original third-party publication when applicable;
  • Not reproduce a complete HNH publication;
  • Not reproduce a complete third-party article;
  • Not remove branding or copyright notices;
  • Not misrepresent the original source; and
  • Not imply endorsement, sponsorship, or partnership.

15. Uses Requiring Written Permission

HNH's prior written permission is required to:

  • Publicly republish complete HNH Original Content;
  • Reproduce substantial quantities of HNH Summaries or HNH Insights;
  • Distribute HNH Content through a recurring external newsletter;
  • Include HNH Content in a customer-facing content library;
  • Syndicate HNH Content;
  • Sell or license HNH Content;
  • Use HNH Content as a material component of a paid research product;
  • Create a commercial archive of HNH Content;
  • Use HNH logos or report covers in advertising;
  • Suggest HNH endorsement or certification;
  • Automatically retrieve or ingest HNH Content beyond the routine indexing described in Section 16.1;
  • Use HNH Content for AI training, grounding, or model development beyond the routine indexing described in Section 16.1; or
  • Build a competing publication, database, directory, or intelligence service.

Permission from HNH does not grant rights to separately owned Third-Party Source Content.

16. Automated Access, Scraping, Data Mining, and Artificial Intelligence

16.1 Routine Indexing and robots.txt

HNH may, through its publicly posted robots.txt file or similar technical protocol, grant limited, revocable permission for specified automated crawlers, including designated search-engine and AI-assistant crawlers, to access the Services for the purposes of routine indexing, discovery, citation, and answer generation that links or attributes back to HNH.

Any such technical permission is limited strictly to routine crawling and indexing consistent with the named crawler's stated and ordinary purpose. It does not, by itself, authorize bulk retrieval, permanent retention, reproduction, redistribution, or use of HNH Content to train, fine-tune, or ground an artificial-intelligence model, and does not override the restrictions in Section 15 or Section 16.2.

HNH may modify, narrow, or revoke robots.txt or similar permissions at any time without notice. Any automated access that exceeds the scope of a crawler's stated indexing purpose, or that continues after HNH revokes or narrows the applicable permission, is subject to the restrictions in this Section 16 and Section 15.

16.2 General Restrictions on Automated Access

Unless HNH provides prior written permission, or unless expressly permitted under Section 16.1, you may not systematically access, retrieve, scrape, crawl, index, process, store, harvest, monitor, aggregate, or ingest the Services or HNH Content through:

  • Bots;
  • Scripts;
  • Crawlers;
  • Browser automation;
  • Browser extensions;
  • API clients;
  • AI agents;
  • AI assistants;
  • Autonomous software;
  • Data-mining tools;
  • Automated monitoring tools; or
  • Similar technologies.

Access at volumes, rates, frequencies, or patterns inconsistent with ordinary human professional use is prohibited.

Without written permission, and beyond what Section 16.1 permits, you may not use HNH Content for:

  • AI training;
  • Model fine-tuning;
  • Retrieval-augmented generation;
  • Model grounding;
  • Embeddings;
  • Benchmarking;
  • Automated summarization at scale;
  • Proprietary knowledge bases;
  • AI-agent development; or
  • Development or improvement of a commercial or publicly available AI system.

Limited use of an individual HNH Summary, HNH Insight, or HNH Original Content item in a private productivity tool may be permitted when:

  • The use supports a legitimate personal or professional task;
  • The provider does not train public or shared models on the content;
  • The content is not retained beyond operational necessity;
  • The use does not involve bulk ingestion; and
  • The output does not reproduce substantial HNH Content publicly.

Except as expressly stated in Section 16.1, HNH's use or nonuse of robots.txt or similar protocols does not expand your rights.

17. HNH Intelligence Exchange

17.1 Purpose of the Intelligence Exchange

The HNH Intelligence Exchange is a professional and peer-engagement forum intended to support discussion concerning:

  • Breaking news;
  • Industry developments;
  • Legislation and regulation;
  • Research;
  • Programs and interventions;
  • Healthcare and reimbursement;
  • Food is Medicine trends;
  • Technology;
  • Philanthropy;
  • Investment;
  • Community health;
  • HNH-published articles;
  • Third-party articles featured by HNH; and
  • Other relevant subjects initiated by subscribers.

The Intelligence Exchange may include article-related discussions and standalone discussions not associated with a specific article.

It is intended to facilitate professional dialogue, questions, experience-sharing, and peer engagement. It is not a substitute for professional advice, formal due diligence, clinical consultation, or independent verification.

17.2 Exchange Content

"Exchange Content" includes:

  • Posts;
  • Comments;
  • Replies;
  • Questions;
  • Discussion topics;
  • Polls;
  • Links;
  • Images;
  • Documents;
  • Profiles;
  • Opinions;
  • Recommendations;
  • Experiences; and
  • Other materials submitted by users.

17.3 User ownership

As between you and HNH, you retain ownership of original Exchange Content you create.

17.4 License to HNH

By submitting Exchange Content, you grant HNH and its affiliates a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

  • Host;
  • Store;
  • Reproduce;
  • Display;
  • Publish;
  • Distribute;
  • Transmit;
  • Format;
  • Moderate;
  • Translate;
  • Adapt for technical presentation;
  • Create excerpts or previews; and
  • Otherwise use the Exchange Content in connection with operating, promoting, improving, and preserving the Services.

This permits HNH to:

  • Display your posts to other users;
  • Feature selected discussions;
  • Include discussion excerpts in newsletters;
  • Promote Exchange activity;
  • Reformat content for different devices;
  • Moderate discussions;
  • Maintain backups;
  • Preserve legal and security records; and
  • Continue displaying responses and discussion context after account closure.

HNH does not claim ownership merely because you submit Exchange Content.

17.5 User representations

You represent that:

  • You own or have permission to submit the Exchange Content;
  • It does not infringe another person's rights;
  • It does not breach confidentiality or contractual duties;
  • It is not knowingly false, fraudulent, defamatory, or materially misleading;
  • You have permission to disclose information concerning another person or organization;
  • It does not contain protected health information without authorization;
  • It does not contain trade secrets or privileged information without authorization; and
  • It complies with applicable law and these Terms.

17.6 Professional conduct

You agree to engage professionally and respectfully.

You may disagree, criticize, question, and debate ideas, policies, organizations, programs, and public developments. You may not engage in:

  • Threats;
  • Harassment;
  • Personal abuse;
  • Unlawful discrimination;
  • Defamation;
  • Deliberate deception;
  • Impersonation;
  • Doxxing;
  • Coordinated manipulation;
  • Spam;
  • Undisclosed paid promotion;
  • Repetitive solicitation; or
  • Other conduct HNH reasonably determines undermines the professional community.

17.7 Commercial interests and disclosures

If you post about an organization, product, investment, program, service, study, policy, or initiative in which you have a material financial, employment, advisory, ownership, funding, or other commercial relationship, you must disclose that relationship when it may affect how other users evaluate your statement.

HNH may label, restrict, or remove undisclosed promotional content.

17.8 No confidentiality

Unless HNH expressly identifies a feature as private or confidential, Exchange Content should not be considered confidential.

Do not submit:

  • Trade secrets;
  • Privileged communications;
  • Protected health information;
  • Confidential customer information;
  • Nonpublic financial information;
  • Personal identification numbers;
  • Sensitive personnel information; or
  • Information you are not authorized to disclose.

17.9 Reliance on other users

Exchange Content reflects the views and experiences of individual users and organizations.

HNH does not necessarily verify or endorse Exchange Content.

Exchange Content may be:

  • Incorrect;
  • Incomplete;
  • Outdated;
  • Biased;
  • Commercially motivated;
  • Misleading; or
  • Based on limited personal experience.

You are responsible for independently evaluating information before relying on it.

17.10 Moderation

HNH may, but is not required to:

  • Remove or restrict content;
  • Close or reorganize discussions;
  • Add labels or context;
  • Correct formatting;
  • Suspend participation;
  • Investigate conduct;
  • Preserve content for legal purposes; or
  • Refer matters to appropriate authorities.

HNH may remove content for violation of these Terms, legal risk, community-management concerns, security issues, or editorial reasons.

Failure to remove content does not constitute endorsement.

18. Advertising, Sponsorships, and Commercial Content

18.1 Advertising-supported Services

HNH may generate revenue through:

  • Display advertising;
  • On-site advertising;
  • Targeted or interest-based advertising;
  • Sponsored reports;
  • Sponsored newsletters;
  • Sponsored events;
  • Sponsored research;
  • Sponsored sections;
  • Native advertising;
  • Promotional listings;
  • Content partnerships;
  • Lead-generation arrangements; and
  • Other commercial relationships.

18.2 Advertising does not necessarily constitute endorsement

The presence of an advertisement, sponsor, promotional listing, or paid relationship does not necessarily mean that HNH:

  • Endorses the advertiser;
  • Recommends the advertiser's product or service;
  • Has independently verified every advertising claim;
  • Guarantees the advertiser's performance;
  • Is affiliated with the advertiser beyond the disclosed commercial relationship; or
  • Accepts responsibility for transactions between the advertiser and users.

18.3 Sponsored reports

HNH may publish reports, research, surveys, webinars, articles, or other content supported financially or otherwise by a sponsor.

Sponsored reports may be:

  • Independently produced by HNH with sponsor funding;
  • Produced in collaboration with a sponsor;
  • Commissioned by a sponsor;
  • Based partly on information supplied by a sponsor; or
  • Produced by the sponsor and distributed through HNH.

HNH will seek to identify the nature of the relationship through labels such as:

  • "Sponsored by";
  • "Presented by";
  • "Supported by";
  • "Paid Content";
  • "Partner Content";
  • "Advertiser Content"; or
  • Another reasonably clear disclosure.

Where HNH retains editorial control, HNH may state that the sponsor funded or supported the report but did not control HNH's conclusions.

Where a sponsor materially participates in or controls the content, the content may be identified as sponsor-produced, partner-produced, or advertiser content.

18.4 Native and sponsored content

Commercial content designed to resemble editorial content will be identified in a manner reasonably intended to inform users of its commercial nature.

HNH may distinguish sponsored or advertising content through:

  • Labels;
  • Headings;
  • Visual treatment;
  • Sponsor identification;
  • Disclosures;
  • Placement; or
  • Other contextual indicators.

18.5 Editorial independence

Unless expressly stated otherwise, advertisers and sponsors do not have the right to control HNH's general editorial coverage.

HNH may establish separate editorial, sponsorship, and advertising policies.

HNH reserves the right to:

  • Accept or reject advertisers;
  • Decline sponsorships;
  • Remove advertisements;
  • Require substantiation;
  • Require disclosures;
  • Reject misleading claims; and
  • End commercial relationships.

18.6 Advertiser responsibility

Advertisers and sponsors are responsible for:

  • The accuracy of their claims;
  • Compliance with applicable advertising laws;
  • Required disclosures;
  • Rights to supplied materials;
  • Product and service performance;
  • Offers and promotions;
  • Pricing;
  • Fulfillment; and
  • Their own privacy and data practices.

18.7 User interaction with advertisers

Your dealings with advertisers or sponsors are between you and the applicable third party.

HNH is not responsible for:

  • Purchases;
  • Contracts;
  • Offers;
  • Promotions;
  • Product performance;
  • Refunds;
  • Shipping;
  • Services;
  • Advertising claims;
  • Data collected on third-party sites; or
  • Disputes with advertisers.

19. Targeted and Interest-Based Advertising

19.1 Advertising personalization

Subject to applicable law and the HNH Privacy Policy, HNH and its advertising, analytics, and technology partners may use information about your interaction with the Services to:

  • Select advertisements;
  • Measure advertisement performance;
  • Limit advertisement frequency;
  • Understand audience interests;
  • Create audience categories;
  • Personalize content;
  • Recommend articles or discussions;
  • Measure site engagement;
  • Conduct attribution;
  • Detect fraud; and
  • Improve the Services.

Relevant activity may include:

  • Articles viewed;
  • Topics followed;
  • Searches;
  • Links selected;
  • Time spent on pages;
  • Exchange discussions viewed;
  • Advertisements viewed or selected;
  • Device and browser information;
  • Approximate location;
  • Referring pages;
  • Subscription preferences; and
  • Similar interaction data.

19.2 Sensitive information

HNH does not intend the Services to collect medical records, clinical diagnoses, protected health information, or similarly sensitive information for targeted advertising.

Users must not submit protected health information through ordinary site, profile, or Exchange features.

HNH may establish additional restrictions concerning the use of sensitive categories for advertising.

19.3 Privacy Policy controls

The HNH Privacy Policy and Cookie Notice will explain, as applicable:

  • Categories of information collected;
  • Purposes of collection;
  • Advertising and analytics partners;
  • Cookies and similar technologies;
  • Interest-based advertising;
  • User choices;
  • Browser or device controls;
  • Opt-out mechanisms;
  • State privacy rights;
  • Data retention;
  • Data sharing; and
  • Contact procedures.

Where required by law, HNH will provide consent mechanisms, opt-out rights, or other controls concerning targeted advertising, the sale or sharing of personal information, cookies, or similar technologies.

19.4 Third-party advertising technologies

Advertising and analytics partners may collect or receive information through:

  • Cookies;
  • Pixels;
  • Tags;
  • Software development kits;
  • Local storage;
  • Device identifiers;
  • Server-to-server transfers; or
  • Similar technologies.

Those third parties may process information under their own privacy policies and contractual obligations.

19.5 No guarantee of advertising relevance

HNH does not guarantee that advertisements, sponsored materials, or recommendations will be relevant, accurate, appropriate, or useful to every user.

The Services may contain:

  • Embedded media;
  • Government sources;
  • Academic research;
  • Company announcements;
  • Third-party advertising;

  • User-submitted links;

  • Third-party content;
  • External site availability;
  • Paywalls or subscriptions;
  • Third-party corrections;
  • Privacy practices;
  • Security;
  • Products or services;
  • Transactions;
  • Advertising claims; or
  • Statements made by third parties.

A link, summary, quotation, advertisement, or reference does not necessarily constitute endorsement.

You access external resources at your own discretion and risk.

21. Editorial Corrections and Updates

HNH may:

  • Correct factual or typographical errors;
  • Update summaries;
  • Revise HNH Insights;
  • Change headlines;

  • Retract HNH Content;
  • Change classifications; or

HNH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, SECURITY, AVAILABILITY, AND ERROR-FREE OPERATION.

HNH does not warrant that:

  • The Services will meet your needs;
  • Summaries will capture every detail of an original article;
  • Third-party content will be accurate;
  • Exchange Content will be reliable;
  • Advertisements will be accurate;
  • Services will be uninterrupted;

This includes damages for:

  • Lost profits;
  • Lost revenue;
  • Lost data;
  • Lost opportunities;
  • Lost funding;
  • Lost investments;
  • Reputational harm;
  • Business interruption; or
  • Reliance on content or user discussions.

To the fullest extent permitted by law, HNH's total aggregate liability will not exceed the greater of:

  • The amount you paid directly to HNH during the 12 months preceding the event giving rise to the claim; or
  • One hundred U.S. dollars.

Nothing excludes liability that cannot legally be excluded.

24. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless HNH and its affiliates, members, managers, officers, directors, employees, contributors, contractors, licensors, service providers, advertisers, sponsors, and agents from claims, liabilities, judgments, losses, damages, costs, and reasonable attorneys' fees arising from:

  • Your material violation of these Terms;
  • Your Exchange Content;
  • Your infringement of another person's rights;
  • Your unauthorized disclosure of information;
  • Your unlawful use of the Services;
  • Your misuse or redistribution of HNH Content;
  • Your violation of law;
  • Your fraud;
  • Your willful misconduct; or
  • Your gross negligence.

This provision applies to consumers only to the extent permitted by law.

25. Informal Dispute Resolution

Before initiating arbitration or a small-claims action, the party seeking relief must send a written dispute notice containing:

  • The party's full name;
  • Mailing address;
  • Email address;
  • Account information, if applicable;
  • A description of the dispute;
  • Relevant facts;
  • The relief requested; and
  • A good-faith calculation of any monetary demand.

For 60 calendar days after receipt of a compliant notice, the parties will attempt in good faith to resolve the dispute.

Either party may request an informal conference by telephone or videoconference.

Compliance with this section is a condition precedent to arbitration or small-claims proceedings, except for emergency intellectual-property, scraping, cybersecurity, or injunctive matters.

26. Arbitration and Individual Proceedings

Except for Excluded Claims, disputes arising from these Terms, the Services, the Privacy Policy, your account, or your relationship with HNH will be resolved through final and binding individual arbitration administered by the American Arbitration Association.

The AAA Consumer Arbitration Rules will apply when the Services are used primarily for personal, family, or household purposes.

The AAA Commercial Arbitration Rules will apply when the Services are used primarily for business or professional purposes.

Excluded Claims include:

  • Individual small-claims matters;
  • Intellectual-property disputes;
  • Scraping and automated-access claims;
  • Unauthorized AI-use claims;
  • Cybersecurity and unauthorized-access matters;
  • Requests for emergency injunctive relief;
  • Proceedings to compel arbitration or enforce an award; and
  • Matters that applicable law does not permit to be arbitrated.

The Federal Arbitration Act governs the arbitration agreement.

27. Jury, Class, and Representative-Action Waivers

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND HNH WAIVE THE RIGHT TO A TRIAL BY JURY.

YOU AND HNH AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY.

Neither party may bring or participate in:

  • A class action;
  • A class arbitration;
  • A collective action;
  • A consolidated action;
  • A representative action;
  • A private-attorney-general action; or
  • Another proceeding seeking relief on behalf of other persons.

You may opt out of arbitration by sending written notice within 30 days after first becoming subject to the arbitration provision.

The notice must include:

  • Your full name;
  • The email associated with your account;
  • A clear statement that you opt out of arbitration; and
  • The date.

28. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

The Federal Arbitration Act governs the arbitration provisions.

For claims properly proceeding in court, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.

Nothing deprives an individual consumer of nonwaivable legal protections.

29. Copyright and Intellectual-Property Complaints; DMCA Notice

HNH respects the intellectual-property rights of others and expects users of the Services, including participants in the Intelligence Exchange, to do the same.

29.1 Designated Copyright Agent

HNH has designated the following agent to receive notifications of claimed copyright infringement under the Digital Millennium Copyright Act, 17 U.S.C. Section 512 ("DMCA"):

HNH intends to register this agent with the U.S. Copyright Office's DMCA Designated Agent Directory. Notices of claimed infringement sent to any address or contact other than the designated agent above may not be effective for purposes of the safe harbor described in this Section 29.

29.2 Notice of Claimed Infringement

To submit a notice of claimed copyright infringement, provide HNH's designated agent with a written communication that includes substantially the following:

  • A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material claimed to be infringing and information reasonably sufficient to permit HNH to locate it, such as a URL;
  • The complaining party's name, address, telephone number, and email address;
  • A statement that the complaining party has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that the complaining party is authorized to act on behalf of the copyright owner.

HNH may remove, restrict, preserve, or restore material as it determines appropriate and, where required, will follow the notice-and-takedown procedures described in this Section 29.

29.3 Counter-Notification

A user whose material was removed or disabled in response to a notice may submit a counter-notification to HNH's designated agent containing substantially the following:

  • The user's physical or electronic signature;
  • Identification of the material that was removed or disabled and its location before removal;
  • A statement, under penalty of perjury, that the user has a good-faith belief the material was removed or disabled as a result of mistake or misidentification;
  • The user's name, address, and telephone number; and
  • A statement that the user consents to the jurisdiction of the federal court for the judicial district in which the user's address is located, or if outside the United States, for any judicial district in which HNH may be found, and that the user will accept service of process from the person who submitted the original notice.

Upon receipt of a valid counter-notification, HNH may, as permitted by law, restore the removed material unless the original complaining party files an action seeking a court order within the applicable statutory period.

29.4 Repeat Infringers

HNH may, in appropriate circumstances and at its discretion, terminate or restrict the accounts of users who are determined to be repeat infringers.

29.5 Other Intellectual-Property Complaints

For intellectual-property complaints not governed by the DMCA notice-and-takedown procedure described above, including trademark complaints or complaints concerning content outside the United States, contact:

The notice should identify the protected right, the disputed material and its location, the complaining party's contact information, the basis for the complaint, a good-faith statement that the use is unauthorized, a statement that the information is accurate and the person is authorized to act, and a physical or electronic signature.

30. Suspension and Termination

HNH may suspend, restrict, or terminate access if HNH reasonably believes that:

  • You violated these Terms;
  • Your account creates a security risk;
  • Your account is being used without authorization;
  • You engaged in scraping or automated extraction beyond what Section 16.1 permits;
  • You engaged in mass redistribution;
  • You misused HNH or third-party content;
  • Your conduct exposes HNH or others to legal risk;
  • Action is required by law;
  • Your conduct disrupts the Services or Exchange; or
  • Continued access creates a legitimate legal, security, operational, or reputational risk.

HNH may act immediately when reasonably necessary.

Upon termination:

  • Your right to access the Services ends;
  • Your license to use HNH Content ends, subject to prior lawful uses;
  • HNH may retain information as permitted by law and the Privacy Policy; and
  • Provisions intended to survive will remain effective.

31. Changes to These Terms

HNH may revise these Terms from time to time.

Changes may be communicated by:

  • Email;
  • Website notice;
  • Account notice;
  • Posting revised Terms; or
  • Another reasonable electronic method.

The revised Terms will identify their effective date.

Material changes will generally be communicated in advance when reasonably practicable.

By continuing to use the Services after revised Terms become effective, you accept the revised Terms.

32. General Provisions

These Terms, the Privacy Policy, Cookie Notice, Community Guidelines, Editorial Standards, and applicable supplemental terms constitute the entire agreement concerning the Services.

If any provision is invalid or unenforceable, it will be enforced to the greatest extent permitted or severed, and the remainder will continue in effect.

HNH's failure to enforce a provision does not waive it.

You may not assign your account or these Terms without HNH's written consent.

HNH may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, change of control, or transfer to an affiliate.

HNH is not liable for delays or failures caused by circumstances beyond its reasonable control.

Provisions concerning ownership, content restrictions, Exchange Content licenses, disclaimers, liability, indemnification, disputes, governing law, and enforcement survive termination.

  • Publish original reporting and reports;
  • Operate professional article-related and standalone discussions;
  • Display advertising;
  • Publish sponsored reports and commercial content with appropriate identification;
  • Permit routine indexing of the Services by designated search and AI-assistant crawlers under Section 16.1;
  • Use site activity for analytics, personalization, and targeted advertising as described in its Privacy Policy and Cookie Notice; and
  • Moderate or remove Exchange Content.
